About Varuna Strategies

What does Varuna Strategies do?

Varuna Strategies helps private and public companies build boards that strengthen leadership, improve strategic decision-making, and support long term enterprise value.

We advise clients on board composition, assess existing boards, recruit independent directors and advisory board members, and provide practical governance guidance. Our work integrates governance strategy and board recruitment in a single, highly engaged process.

What makes Varuna Strategies different from traditional executive
search firms?

We do not begin with candidates; we begin with the company.

Every engagement starts with a deep understanding of the organization’s strategy, leadership, ownership structure, competitive environment, governance priorities and future direction. That work allows us to understand and identify not merely strong candidates, but candidates whose experience, judgment, perspective, and working style are well matched to what the board and the company need next.

Who founded Varuna Strategies?

Varuna Strategies was founded by Joe Ayoub, a nationally recognized governance advisor, former law firm partner and trial attorney and co-host of the On Boards Podcast. For more than three decades, Joe has advised organizations on governance, leadership, board composition, risk, and strategic decision-making. His legal and governance experience enables Varuna to bring practical judgment and broad experience to board recruitment and to the broader analysis of determining whether a board will be effective.

Boards of Directors

What is a Board of Directors?

A board of directors is the governing body legally responsible for overseeing an organization’s affairs. The board selects and evaluates senior leadership, oversees strategy, helps management identify and manage risk, approves major decisions, and holds management accountable. It does not manage day-to-day operations; rather, it provides informed, independent judgment and acts in accordance with its fiduciary duties to the organization.

Why is a Board of Directors important?

An effective board improves the quality of consequential decisions. It brings independent perspective, relevant experience, disciplined oversight and accountability to issues such as strategy, risk, capital allocation, leadership, succession, and organizational performance.

At its best, a board is not simply a governance requirement, it is a strategic asset.

What does an high-performing board do?

A high-performing board understands the business, focuses on the issues that matter most, and engages management through constructive challenge and support. It exercises independent judgment, helps to identify and manage material risks, tests strategic assumptions, plans for leadership succession and holds itself and management accountable. It also creates an environment in which candid discussion, healthy disagreement, and sound decisions can occur in a timely manner.

What is board composition

Board composition is the combination of skills, experience, perspectives, relationships, judgment, independence, and personal attributes represented on a board. Effective composition is not a collection of impressive resumes. It is an intentional design that reflects the company’s strategy, risk tolerance, ownership objectives, stage of development and leadership needs.

The board should be built for where the organization is going - not simply where it has been.

How does a company know whether it has the “right” board composition?

The “right” board composition is determined based on the current and future needs of an organization. A company should compare the capabilities already present on the board with the expertise, judgment, and perspectives required by its strategy, risk exposure, market, ownership structure, and leadership succession plans. The analysis should also consider board dynamics, director capacity, independence, and whether individual directors continue to add value.

What is board refreshment?

Board refreshment is the disciplined process of evaluating whether the board’s composition continues to meet the organization’s needs and, when appropriate, adding or transitioning directors. Effective refreshment is not change for its own sake. It should preserve valuable institutional knowledge while ensuring that the board evolves as the company, its risks and its strategic priorities change.

When should a company review or refresh their board?

A board should review its composition at least annually and whenever there is a material change in strategy, leadership, ownership, risk, regulation, capital needs, or market conditions. A planned approach is preferable to waiting for a vacancy or a crisis. A regular review allows the board to address future needs thoughtfully and gives it time to identify exceptional candidates that are also an exceptional fit for the board.

What is board succession planning?

Board succession planning is the ongoing process of anticipating future board needs and preparing for director departures, leadership transition and changes in company strategy. It helps the board preserve continuity while adding capabilities that will be important in the years ahead. Strong succession planning is proactive, multi-year, and connected directly to board composition and company strategy.

What is a board assessment?

A board assessment is a structured evaluation of how effectively the board, its committees, and individual directors are performing. It may examine composition, agendas, information flow, decision making, oversight, board management and committee effectiveness and culture. The purpose of an assessment is not only to identify potential deficiencies, but to determine how the board can contribute more effectively to the organization.

What makes an individual an effective director?

An effective director brings relevant experience, sound judgment, integrity, curiosity, preparation, and the courage to express an independent view. The strongest directors listen carefully, ask incisive questions, understand the distinction between governance and management, and know when to challenge, support, or step back.

Advisory Boards

What is an advisory board?

What is the difference between a board of directors and an advisory
board?

A board of directors is a legal governing body with decision making authority and fiduciary duties. An advisory board provides counsel but ordinarily cannot bind the company, vote on corporate matters, or exercise formal oversight authority.

Do advisory board members have fiduciary or other legal duties?

Advisory board members generally do not owe fiduciary duties solely because they serve as advisors, provided they do not exercise the authority or control of directors. They may, of course, have contractual, confidentiality, securities law, agency, intellectual property or professional obligations, and duties may arise from another role they hold.

Can an advisory board evolve into a board of directors?

Yes. Some companies begin with an advisory board and later establish a formal board of directors as ownership broadens, capital is raised, leadership changes, governance needs become more complex or when ownership and management become more comfortable with having a fiduciary board.

Board Recruitment

How does Varuna Strategies identify and recruit board members?

Every search begins with understanding the company and the board. We work with the client to identify the strategic, governance, leadership and other needs the new director(s) should address, develop a detailed board candidate specification, conduct targeted research, activate relevant professional and referral networks, assess prospects and advise the search committee through the process of interviews, selection, and appointment. The process is designed to produce the best director for the organization, not simply a list of available candidates.

Where do board candidates come from?

Exceptional directors rarely come from a single source. We identify candidates through executive, governance, investor, industry, and professional networks. As well as referrals from respected board land business leaders, direct research and conversations with both experienced and emerging directors. Each engagement creates its own candidate pool based on the client’s particular needs.

How long does a board search take?

The timeline varies with the complexity of the assignment, the specificity of the desired experience/expertise, candidate availability, interview schedules and the client’s decision making process.

A well-run search should move with discipline and urgency, but not at the expense of judgment or fit. At the outset of each engagement, Varuna establishes a tailored process and expected timetable with the client.

What mistakes do companies make when recruiting directors?

Common mistakes include:

  • Beginning with familiar names instead of defining the board’s needs
  • Overemphasizing prestige or a single credential
  • Treating diversity as separate from strategy
  • Failing to assess judgment, chemistry, and capacity; and
  • Allowing personal relationships to substitute for a rigorous process.
  • Another frequent mistake is recruiting for today’s vacancy rather than the company’s future.

How should a company evaluate board candidates?

A disciplined evaluation of each candidate against the agreed board specification and assess both qualifications and contribution. Interviews should explore relevant experience, judgment, independence, motivation, availability, conflict issues, and how the candidate works with others. References and appropriate due diligence should confirm not only accomplishments, but also reputation, integrity, and boardroom effectiveness.

Governance and Board Effectiveness

What is corporate governance?

Corporate governance is the framework through which an organization is directed, overseen, and held accountable. It includes the allocation of authority among owners, the board, and management, the processes used to make and oversee important decisions and the practices that support accountability, integrity, risk oversight, and long-term value creation.

Why does governance matter?

Governance shapes how important decisions are made. Effective governance clarifies authority, improves accountability, strengthens oversight, and helps leaders navigate growth, transition, risk, and crisis. It also builds confidence among investors, employees, customers, business partners, and other stakeholders.

What is board effectiveness?

Board effectiveness is the extent to which a board fulfills its responsibilities and contributes meaningfully to an organization’s success. It depends on more than structure or compliance. Effective boards combine the right composition with sound leadership, well-designed agendas, candid discussion, clear accountability, faproductive relationships with management, and disciplined follow-through.

What is the board’s role in strategy?

Management ordinarily develops and executes strategy; the board oversees, tests, and ultimately approves the company’s strategic direction. Effective directors examine assumptions, alternatives, risks, resources, and measures of success. The board should remain engaged as conditions change without crossing the line into managing the business.

What is the board’s role in risk oversight?

The board is responsible for overseeing how management identifies, assesses, manages, and reports the organization's most significant risks. But effective risk oversight goes beyond simply reviewing management's work. A high-performing board also brings an independent perspective that helps identify material risks management may have overlooked or underestimated.

By combining management's deep knowledge of the business with the board's broader experience, diverse expertise, and independent judgment, organizations are better positioned to recognize emerging risks early, evaluate their potential impact, and respond before they become significant threats. Effective risk oversight is one of the most ways a board protects the organization and creates long-term enterprise value.

What is the board’s role in CEO succession?

CEO succession is one of the board’s most consequential responsibilities. The board should plan for both long-term and emergency succession, understand the leadership capabilities the company strategy will require, evaluate internal talent and maintain a process that can be activated before a transition becomes urgent.

Succession planning should be a regular agenda item rather than event driven.
